This End User License Agreement ("EULA") is a legal agreement between you and Worthy Tech LLC for the WorthyID software application. This EULA supplements our Terms of Service and is provided to meet Microsoft Store, Apple App Store, and Google Play distribution requirements.
1. License Grant
Subject to your compliance with this EULA and the Terms of Service, Worthy Tech LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use WorthyID on devices you own or control, solely for your personal or internal business purposes, in accordance with the documentation and applicable app store rules.
2. License Restrictions
You may not:
- Copy, modify, or create derivative works of WorthyID except as permitted by law
- Distribute, sublicense, lease, lend, or sell WorthyID or access to it
- Reverse engineer, decompile, or disassemble WorthyID except to the extent expressly permitted by applicable law (including EU Directive 2009/24/EC where applicable)
- Remove, alter, or obscure proprietary notices or labels
- Use WorthyID to develop a competing product or service
- Use WorthyID in violation of export control laws or sanctions regulations
3. Ownership
WorthyID is licensed, not sold. Worthy Tech LLC and its licensors retain all right, title, and interest in WorthyID, including all intellectual property rights. Data you store in your vault remains your property.
4. Updates and Changes
We may provide updates, patches, or modifications to WorthyID. Updates may be installed automatically or require manual installation depending on your platform settings. We may modify or discontinue features with reasonable notice where practicable. This EULA applies to updates unless accompanied by separate terms.
5. App Store Terms
If you downloaded WorthyID from a third-party app store, you acknowledge that:
- This EULA is between you and Worthy Tech LLC — not the app store provider
- The app store provider has no obligation to provide maintenance or support for WorthyID
- The app store provider is not responsible for product claims, intellectual property claims, or legal compliance claims relating to WorthyID
- In the event of a third-party claim that WorthyID infringes intellectual property rights, Worthy Tech LLC — not the app store provider — is responsible for investigation, defense, and settlement as required by these terms
- The app store provider and its subsidiaries are third-party beneficiaries of this EULA and may enforce it against you
6. Export Compliance
WorthyID may be subject to U.S. export control laws and regulations. You agree not to export, re-export, or transfer WorthyID to prohibited countries, persons, or end uses in violation of applicable export laws.
7. Open Source Components
WorthyID may include open source software components subject to separate license terms. Where required, a list of open source components and their licenses will be available in the app under Settings → About → Open Source Licenses, or upon request.
8. Termination
This license is effective until terminated. It terminates automatically if you breach this EULA or the Terms of Service. Upon termination, you must cease use and uninstall WorthyID. Sections regarding ownership, disclaimers, limitation of liability, and app store terms survive termination.
9. Disclaimer of Warranties
WORTHYID IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WORTHY TECH LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW DISCLAIMER OF IMPLIED WARRANTIES — IN SUCH CASES, WARRANTIES ARE LIMITED TO THE MINIMUM PERIOD AND SCOPE REQUIRED BY LAW.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WORTHY TECH LLC SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM USE OF WORTHYID BEYOND THE LIMITATIONS SET FORTH IN OUR Terms of Service.
11. U.S. Government Users
WorthyID is "commercial computer software" and "commercial computer software documentation" as defined in FAR 12.212. Use by U.S. Government end users is subject to the terms of this EULA per FAR 12.212 and DFARS 227.7202 where applicable.
